Off-balance sheet arrangement of a registrant.

As stated earlier, on August 26, 2022, Trademarks Conagra, Inc. (the “Company”) entered into a term loan agreement (the “Term Loan Agreement”) with
Farm Credit Services of AmericaPCA, as administrative agent and lender, and the other lenders parties thereto, providing deferred draw term loans to the Company in an aggregate principal amount of up to $500 million.

On September 14, 2022the Company has borrowed all $500 million total amount of principal available under the term loan agreement. The Company currently anticipates that it will use the proceeds of its borrowings under the Term Loan Agreement, as well as the borrowings under its commercial paper program, to fund the repayment or repayment of outstanding indebtedness long-term contracts expiring in fiscal year 2023 and for other general corporate expenses. purposes.
